These terms govern your purchase of goods from nuvion.health. By placing an order you accept them. Please read section 3 before you order.

1. Who you are contracting with

Goods on this website are sold by NuVion Health Ltd, registered in England and Wales, company number 16710653, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, trading as NuVion Health.

In these terms, NuVion, we and us mean NuVion Health Ltd. You and your mean the person or entity placing the order. We supply into Australia and the Australian Consumer Law applies to your purchase.

2. Eligibility

You may only order if:

  • you are 18 years of age or older;
  • you are acquiring the goods for laboratory or scientific research use, and not for administration to any human or animal; and
  • you hold any authority, licence, permit or approval required in your jurisdiction to acquire, possess and handle the goods you are ordering.

By placing an order you warrant that all three are true, and that the information you give us is accurate. We may ask you to provide evidence supporting any of them before we accept or dispatch an order, and we may decline an order if that evidence is not provided.

3. Research use only, and what that means

Our goods are supplied strictly for in vitro laboratory and scientific research use.

They are not therapeutic goods and are not registered or listed in the Australian Register of Therapeutic Goods. They have not been evaluated by the Therapeutic Goods Administration. They are not intended, and must not be used, for human or veterinary consumption, injection, ingestion, topical application, diagnosis, treatment, cure or prevention of any disease or condition.

Being described as research use only does not make a product lawful to supply, possess or use for any other purpose. A number of the substances we supply are Schedule 4 (prescription only) under the Poisons Standard, and some are also listed in Appendix D, which means possession without lawful authority is an offence. It is your responsibility to know the status of what you are ordering and to hold any authority you need before you order.

Nothing on this website is medical advice. We do not provide dosing, administration, protocol or clinical guidance of any kind, and no member of our team is authorised to do so. If you are seeking advice about your own health, speak to a registered medical practitioner.

4. Orders and acceptance

Your order is an offer to buy. A contract is formed only when we send you a dispatch confirmation. An order confirmation or payment receipt is an acknowledgement that we have received your order, not acceptance of it.

We may decline or cancel any order, in whole or in part, at any time before dispatch, including where:

  • we have grounds to believe the goods may be used or onward supplied unlawfully or for human or animal administration;
  • you do not meet, or we cannot reasonably satisfy ourselves that you meet, the eligibility requirements in section 2;
  • the order appears fraudulent, or payment is declined or reversed;
  • there was an error in the price or description of the goods; or
  • the goods are unavailable.

If we decline or cancel an order after you have paid, we will refund the full amount paid, including any shipping charged, to your original payment method. We do not charge a fee for declining an order.

5. Your account

If you create an account, keep your login details secure and do not share them. You are responsible for activity on your account. Tell us promptly at [email protected] if you believe your account has been accessed without authorisation. We may suspend or close an account where these terms have been breached, and will tell you why.

6. Prices and payment

Prices are in Australian dollars and are shown on the product page. Payment is taken in full at the time you place your order. We accept the payment methods shown at checkout.

Prices, product descriptions and availability may change at any time before you place an order. If an obvious pricing or description error affects an order you have already placed, we will contact you before dispatch and you may confirm the order at the corrected price or cancel it for a full refund.

7. Delivery, title and risk

We ship within Australia only. Delivery timeframes shown on the site are estimates. We are not liable for delays caused by a carrier, weather, industrial action or other events outside our reasonable control, though this does not affect your rights under the Australian Consumer Law where goods are not delivered within a reasonable time.

Risk in the goods passes to you on delivery to the address you gave us. Title passes on delivery or on receipt of payment in full, whichever is later. Full details are in our Shipping Policy.

8. Labelling, storage and handling

Goods are supplied labelled for research use with handling information. You must keep the goods in their supplied packaging with the labelling intact, not remove, obscure, alter or replace any label or warning, store and handle them in accordance with the storage conditions supplied and any applicable workplace health and safety obligations, and dispose of them lawfully.

9. No onward supply

You must not resell, repackage, relabel, redistribute, gift or otherwise supply the goods to any other person without our prior written consent. This applies whether or not you charge for them.

If you are a business or institution seeking to distribute our products, contact us at [email protected] to discuss a distribution agreement. Onward supply outside such an agreement is a breach of these terms.

10. Returns, refunds and your consumer rights

Our Refund and Returns Policy forms part of these terms.

Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified.

11. Limitation of liability

This section applies only to the extent the law allows.

Where we are liable for a failure to comply with a consumer guarantee in relation to goods that are not of a kind ordinarily acquired for personal, domestic or household use, our liability is limited, at our option, to replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of doing any of those things.

Subject to section 10, and to the extent permitted by law: we are not liable for loss of profit, loss of revenue, loss of data, loss of opportunity, business interruption, or any indirect or consequential loss; we are not liable for any loss, injury, damage or liability arising from use of the goods otherwise than for in vitro laboratory or scientific research, including any human or animal administration; and our total liability arising out of or in connection with any order is limited to the amount you paid for the goods giving rise to the claim.

12. Indemnity

You indemnify us against loss, damage, cost or liability we reasonably incur arising from your breach of section 2, section 3, section 8 or section 9, any human or animal administration of the goods by you or by a person you supplied them to, or any unlawful acquisition, possession, use or supply of the goods by you.

This indemnity does not apply to the extent the loss was caused or contributed to by our own negligence, breach or unlawful act, and does not extend to any liability that cannot lawfully be indemnified. Your liability under this indemnity is reduced proportionately to the extent we contributed to the loss.

13. Intellectual property

All content on this website, including text, product data, images, certificates of analysis, branding and the NuVion name and logo, belongs to us or our licensors. You may use it for your own internal purposes. You may not copy, republish, scrape, resell or use it commercially without our written consent.

14. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).

15. Changes to these terms

We may update these terms. The version in force is the one published on this page at the time you place your order, and we will not apply a change retrospectively to an order already placed. Where a change materially affects your rights, we will publish it with a revised last updated date and, where you hold an account, notify you by email before it takes effect.

16. Events outside our control

We are not in breach of these terms to the extent we are prevented from performing by an event outside our reasonable control, including natural disaster, epidemic, war, industrial action, carrier failure, regulatory action, or failure of utilities or communications networks. If such an event prevents us delivering an order, we will tell you and refund you in full.

17. Complaints and disputes

If something has gone wrong, email [email protected] with your order number. We aim to acknowledge within one business day and resolve within ten. If we cannot resolve it between us, you may refer the matter to the ACCC or to the consumer affairs body in your state or territory. Nothing here prevents either of us from seeking urgent relief from a court.

18. General

These terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts able to hear appeals from them.

If any provision is found to be unenforceable, it is severed and the rest continues to apply. A failure or delay by us in enforcing any provision is not a waiver of it. We may assign or novate these terms to a related entity or in connection with a sale of our business, on notice to you. You may not assign your rights without our written consent.

These terms, together with our Refund and Returns Policy, Shipping Policy and Privacy Policy, are the entire agreement between us in relation to your order. Sections 3, 8, 9, 11, 12, 13 and 18 survive the end of the contract.
